Scope and agreement
Services, deliverables, fees and timing are defined in the accepted proposal, statement of work or other written agreement. That agreement controls if it conflicts with these general terms.
Authorization and access
You authorize us to access the accounts, systems and materials reasonably needed to perform the agreed services. You remain responsible for account ownership, permissions and secure credential management.
Client responsibilities
You will provide accurate information, timely feedback, approvals and materials you have the right to use. Delays in these items may change the schedule.
Third-party platforms and services
Hosting providers, advertising networks, software platforms and other third parties have their own terms, availability and fees. We are not responsible for changes or outages outside our control.
Fees and payment
Invoices are due according to the accepted agreement. Overdue work may be paused, and approved expenses or third-party costs may be billed as described in that agreement.
Timing and acceptance
Schedules are estimates unless expressly guaranteed in writing. Deliverables are considered accepted when approved in writing, placed into production or not rejected with specific reasons within the review period stated in the agreement.
Intellectual property
Each party retains ownership of materials it owned before the engagement. Upon full payment, final deliverable rights are transferred or licensed as stated in the accepted agreement. Tools, methods, reusable components and third-party materials remain subject to their existing ownership and licenses.
Confidentiality
Each party will use reasonable care to protect nonpublic information received through the engagement and use it only for the work or as required by law.
Warranties and limitations
We will perform services professionally and in substantial accordance with the accepted agreement. Except as stated there, services are provided without additional warranties. Liability is limited to the extent permitted by law and by the applicable agreement.
Suspension and termination
Either party may end services as provided in the accepted agreement. Amounts earned, approved expenses and obligations intended to survive termination remain due.
